**Corporate or LLC Debt / Convertible Debt ** We do NOT offer a “DEBT” PPM - Private Placement Memorandum. Why: It is almost impossible for most existing small businesses and start-ups to successfully raise capital through a debt offering. The legend warning that is required on the DEBT PPM is so severe and so onerous that when potential investors read it they will not agree to invest. Know that once an investor says no, it is too late to convince them to change their minds by offering a different investment structure, such as equity. Example of the warning legend is “ The company has no past history or track record that can demonstrate any ability or likelihood to pay any promised interest payments or repay the principal loan amount. Investor should be prepared to lose their entire investment”. Anyone who leaves the warnings out of their PPM risk serious legal exposure including personal liability for any money lost. We will not offer a product that is a waste of your time and money. If you wish to insist on pursuing a debt format we recommend you use one of our competitors who will gladly take your money. 26 page PPM Template The information you must add to the document is red in color. Once you have added your Business Plan and completed the information needed; you will be positioned to properly accept investor money. The investor retains the PPM document for their records. 9 page Subscription Agreement Template The information you must add to the document is red in color. Once you have completed the information needed which we have marked using a red font; you will be capable of receiving investor capital. The investor fills out the self explanatory portion of the document, signs the document and returns it with a check to you. Legend for use in all 50 States Our PPM Template is legend for use in all 50 States. That means it includes the specific legend language required by each individual state. For Example, here is the legend for Arkansas. Complies with SEC Reg D - Rules 504 / 505 / 506 The only item in a Private Placement Memorandum that differentiates it for Reg D Rule 504, 505 and 506 is the amount of money you are seeking to raise. If you initially believe that you will be raising more than >$1,000,000 and later decide to change to less than <$1,000,000 there is no changes to the PPM required except to change the amount. If you read the 3 rules you will see that it is about the amount you are raising and the regulatory requirements you must conform. Our PPM can be used for any Rule 504, 505 or 506 offering. Valid for use with C Corporation / S Corporation or LLC-Limited Liability Corporation There is wording in a Private Placement that differentiates Corporations from (LLC) - Limited Liability Companies. However, there is no specific wording requirement for whether it is a C or S Corporation. Those are IRS tax designations. It is appropriate for you to mention this information and include it in the business plan section since it in-directly reflects on your ability to payout funds to your shareholders. There is a difference between a Corporation PPM and LLC PPM. We actually provide you both in your purchase. All too often we hear our clients say that on reviewing information on our website (audio seminars) it causes them to change the corporate structure. Since we provide you both PPM's, you have that flexibility to change your mind at the last minute. The addition of your Business Plan as part of the PPM is a critical step in fulfilling this very important requirement. Typically, you will simply copy and paste your business plan into the section we have clearly designated. Assuming, you already have your business plan completed the outline can and should be used to review your document and confirm that you have included all the necessary informational categories required. This will give you a final opportunity to review the overall content and ascertain that you have included all the information that prospective investors will want to see. In the alternative, if you don't have a completed business plan you can use this outline to prepare you plan. Copy and Filing information SEC Form D We provide a copy of SEC Form D for your information. You will be required to submit and file a Form D within 15 days of receiving the 1st investment check. Note: the Form D must be filed within 15 days of accepting that 1st check. We recommend that you fill out the Form D by hand and log onto the SEC website http://www.sec.gov/info/smallbus/secg/formdguide.htm You will find the needed information to complete and submit a Form D online. Non-Disclosure Form We provide a non-disclosure form for those of you that have very sensitive information that you are concerned about disclosing to anyone. Confidentiality Agreement We provide a confidentiality agreement for those of you that have very sensitive information. You can decide which form is most appropriate for any particular situation. Investor Questionnaire We have included the Investor questionnaire within the Subscription Agreement. We think it is less intrusive to ask the investor to fill out 1 form instead of multiple forms since they must return the Subscription Agreement to you anyway. Contact Info All States Securities Regulators We provide a contact list for all states securities regulators. Once you have raised money within a specific state the best course is to contact the specific state and ask them what document they will need, if any, for you to file. In many states there is a minimum number of investors that must be reached before a filing is required. Many states will ask you to send them a copy of your Form D. Its best to contact them to ascertain each states requirement. Remember, this is not an approval process but a notification process. You are not asking them for permission to take the investors money; you are advising them that you took investor money.
