(Reg D) Regulation D Rule 501

Regulation D Rule 501 covers the definitions used in the rule.

Accredited Investor shall mean any person who comes within the any of the following categories, or who the issuer reasonably believes comes within any of the following categories at the time of the sale of the securities to that person.

  1. Banks, Broker Dealers, Financial Institutions
  2. Private Business development Companies
  3. Business, trust, etc with value greater than $5,000,000
  4. Any director, partner, officer or executive officer.
  5. Any natural person who’s net worth is > 1,000,000
  6. Any person who’s income exceeds $ 200,000 in the prior 2 years
  7. Any trust with assets > $5,000,000
  8. Any entity in which all the equity owners are qualified as accredited investors.
